Confidentiality Agreements are commonly used by parties, including to:

  • ensure that agents and employees are required to maintain the confidentiality of the client’s sensitive information and trade secrets;
  • maintain confidentiality of information relevant to a tender or sale process to safeguard the integrity of the process; or
  • maintain confidentiality in relation to terms of a settlement.

The courts generally enforce these agreements strictly and are reluctant to interpret them broadly. Therefore, it is important that a confidentiality agreement be drafted appropriately in light of the specific circumstances that it is required to address.
